Solicitor – Corporate and M&A

About the role

Our leading Corporate and M&A team offers genuine breadth, variety and career development. You’ll work across M&A, capital markets transactions, commercial negotiations and general corporate advisory, building deep expertise in the Corporations Act and ASX Listing Rules along the way. Collaborating directly with Partners and senior practitioners on deals that make headlines, you’ll be part of a team where everyone backs each other to deliver exceptional outcomes for clients. As a Solicitor in our team, you can expect to regularly:

• Support and advise on equity capital markets transactions, including IPOs, demergers and secondary raisings
• Advise on mergers, acquisitions and takeovers, including due diligence and preparing and negotiating transaction documents
• Assist listed companies with corporate and regulatory matters, including general meetings, ASX and ASIC liaison, and Listing Rule compliance including continuous disclosure
• Support and advise on corporate governance for listed, unlisted and private companies

About you

We are looking for a driven Solicitor who is enthusiastic about building their career in corporate law, with a particular interest in mergers and acquisitions. You’ll fit right in if you take your work seriously, but not yourself.

You’ll thrive in this role if you bring:

• Approximately 2–5 years’ post-admission experience in corporate and commercial law, ideally with exposure to M&A transactions and a sound understanding of key transaction stages, including due diligence, structuring, drafting and negotiation, signing and completion
• A working knowledge across capital markets transactions, commercial negotiations and general corporate advisory
• A solid understanding of the Corporations Act and ASX Listing Rules
• Well-developed drafting and legal research skills, with strong attention to detail
• Excellent organisation, with the ability to manage competing priorities and files
• A collaborative approach and genuine enthusiasm for working as part of a team to achieve exceptional outcomes for clients
