Company Secretary (Pro Bono Board Appointment) – Remote – Expression of Interest

We are seeking an experienced and values-driven Company Secretary to join our Board and provide governance leadership that supports our mission and long-term impact.

This is an opportunity for a governance professional to contribute their expertise to a nationally recognised organisation while working alongside an engaged Board, Chief Executive Officer and executive team committed to protecting children and strengthening communities.

ABOUT THE OPPORTUNITY

Reporting directly to the Board Chair, the Company Secretary plays a critical role in supporting Board effectiveness, governance integrity and regulatory compliance.

Key responsibilities include:

• Advising the Board and Chair on governance obligations, board effectiveness and best practice governance principles.
• Supporting compliance with the Corporations Act, ACNC requirements and organisational governance frameworks.
• Coordinating Board meetings, agendas, papers and annual governance activities.
• Preparing accurate Board minutes and maintaining statutory records.
• Managing regulatory reporting and governance lodgements.
• Supporting Directors to fulfil their governance responsibilities and contribute effectively.
• Maintaining governance policies, procedures and Board records.
• Working collaboratively with Directors and the Chief Executive Officer to support strong governance outcomes.

The role is remote and typically involves attendance at one Board meeting per month together with approximately 4 to 8 hours of governance support activities.

ABOUT YOU

You are an experienced governance practitioner or professional from a legal, risk, company secretarial or corporate affairs background who values integrity, accountability and purpose, and is committed to helping organisations achieve meaningful and sustainable impact.

You will bring:

• Experience as a Company Secretary, Governance Manager, Governance Officer, Board Administrator or in a similar board support or governance role.
• A sound understanding of corporate governance principles, board processes and the regulatory obligations of charities and not-for-profit organisations.
• Strong organisational and stakeholder engagement skills, underpinned by integrity, sound judgement and attention to detail.
• The ability to build trusted relationships and work collaboratively with Board members, the CEO and executive team and key stakeholders.
• A practical, solutions-focused approach and a genuine commitment to supporting Bravehearts’ purpose and impact.
• Qualifications in governance, law, commerce, business or a related discipline will be highly regarded.
